Terms of
Service & Operation

This Operational Agreement governs the use of Copenhagen AI's computational infrastructure. By accessing our systems, you accept these terms unequivocally.

01 Service Definition & Negotiability

Copenhagen AI (CPH.AI) provides advanced data engineering and machine learning infrastructure ("The Service").

Negotiability Clause: These Terms serve as the baseline operational framework. We recognize the complexity of enterprise engagements; therefore, all terms herein are subject to negotiation and may be superseded by a specific Master Services Agreement (MSA) or Statement of Work (SOW) executed by both parties.

02 Intellectual Property

Client Ownership

You retain ownership of your input data and the specific fine-tuned model weights exclusively derived from it.

CPH.AI Ownership

We retain all rights to the underlying infrastructure, orchestration logic, pre-training methodologies, and aggregated system knowledge.

Joint Intellectual Property

For custom architectures developed collaboratively where both CPH.AI engineering and Client domain expertise are inseparable, we offer Joint IP / Co-Tenancy models. Specific rights, commercialization privileges, and royalties for such co-created works shall be explicitly defined in the engagement SOW.

03 Stochastic Liability & No Warranty

DISCLAIMER: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

You acknowledge that Generative AI is experimental and probabilistic. CPH.AI makes no representations regarding the accuracy, reliability, or safety of AI-generated outputs. Models may hallucinate, omit data, or generate biased content.

CPH.AI SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON GENERATED OUTPUTS.

Use of results in high-stakes domains (medical, legal, financial, critical infrastructure) is at the Client's sole risk. We assume no duty of care regarding the content generated by the system.

04 Acceptable Use Protocol

You agree not to use the CPH.AI infrastructure for:

  • Adversarial attacks, prompt injection, or attempting to "jailbreak" safety guardrails.
  • Reverse engineering the proprietary orchestration logic.
  • Generation of illegal content, malware, or disinformation.

CPH.AI reserves the right to suspend any account immediately, without notice, upon suspicion of a violation of this protocol.

05 Service Availability

While we architect for resilience, CPH.AI does not guarantee uninterrupted service. We are not responsible for outages caused by underlying hyperscaler failures, API upstream limits, network congestion, or force majeure events. No refunds or service credits will be issued for downtime unless explicitly defined in a separate, executed Enterprise SLA.

06 Indemnification & Liability

You agree to indemnify CPH.AI from claims arising out of your use of the Services or any violation of these Terms.

To the maximum extent permitted by law:

(A) CPH.AI shall not be liable for indirect, incidental, special, or consequential damages (including lost profits or data loss).

(B) CPH.AI's total cumulative liability shall not exceed the total fees paid by the client to CPH.AI in the three (3) months immediately preceding the event giving rise to the claim.

07 Dispute Resolution & Governing Law

Any disputes arising out of these terms shall be governed by the laws of Denmark. The parties agree to the following resolution waterfall:

  1. Direct Negotiation: Parties shall first attempt to resolve the dispute through good-faith negotiation between Principal officers for a period of thirty (30) days.
  2. Mediation: If unresolved, the parties may agree to Mediation administered by the Danish Mediation Institute or another mutually agreed service.
  3. Arbitration: If Mediation fails or is deemed unsuitable, the dispute shall be settled by Arbitration according to the rules of the Danish Arbitration Association.
  4. Litigation: Litigation shall only be initiated in the courts of Denmark if Arbitration is deemed inapplicable or by mutual consent for specific circumstances.

Copenhagen AI reserves the right to choose the specific method and location of dispute resolution based on efficiency and practical considerations.
